Terms of Service

The terms governing your use of FlagHound.

Please read these Terms carefully before using FlagHound. By accessing or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Overview

FlagHound ("we," "us," or "our") provides a compliance monitoring service that aggregates publicly available government data and delivers alerts to construction contractors and related professionals operating in New York City. These Terms of Service ("Terms") govern your access to and use of our website at flaghound.com and any related services (collectively, the "Service").

2. Nature of the Service

FlagHound is an informational tool that aggregates data from publicly available government sources, including but not limited to NYC Open Data, the Department of Buildings (DOB), the Office of Administrative Trials and Hearings (OATH), and the Environmental Control Board (ECB). FlagHound is not a law firm, not a professional engineering firm, not an expeditor, and is not affiliated with, endorsed by, or officially connected to the NYC Department of Buildings, OATH, ECB, FDNY, HPD, 311, or any other government agency.

FlagHound does not provide legal advice, engineering advice, or professional compliance consulting. FlagHound does not certify, guarantee, or warrant that any property, jobsite, contractor, or business is in compliance with any law, regulation, code, or standard. FlagHound is not a substitute for consultation with licensed attorneys, professional engineers, expeditors, or other qualified professionals.

You acknowledge and agree that:

  • FlagHound is a monitoring and alerting tool, not a compliance certification service
  • FlagHound does not interpret building codes, zoning regulations, or other laws on your behalf
  • FlagHound does not advise on remediation, correction, or response to violations or complaints
  • FlagHound does not replace the judgment of licensed professionals
  • FlagHound monitors specific publicly available data sources and does not claim to cover all possible sources of violations, complaints, or enforcement actions
  • You should not rely solely on FlagHound for any compliance decision

3. Data Accuracy and Completeness

FlagHound aggregates data from third-party government sources. We do not control, verify, independently confirm, or guarantee the accuracy, completeness, timeliness, or reliability of the data provided by these sources.

Government databases may contain errors, omissions, or delays. Data may not reflect the most recent enforcement actions, complaints, violations, permits, or other records. Update frequencies vary by dataset and are determined by the originating government agency, not by FlagHound.

While we make reasonable efforts to present data accurately as received from government sources, we expressly disclaim any responsibility for errors, omissions, or delays originating in those sources.

4. No Guarantee of Outcomes

FlagHound does not guarantee that use of the Service will result in the avoidance of violations, fines, penalties, stop work orders, or any other enforcement action. FlagHound does not guarantee that all complaints, violations, or enforcement actions affecting your jobsites or business will be detected or reported by the Service.

The predictive or analytical features of the Service, including but not limited to complaint-to-violation correlation rates, estimated inspection timelines, and risk assessments, are based on historical patterns and statistical analysis. They are estimates, not guarantees, and actual outcomes may differ materially.

5. Your Account and Responsibilities

To use the Service, you may be required to provide certain information including your name, email address, company name, license numbers, and jobsite addresses. You agree to provide accurate and current information and to update it as necessary.

You are responsible for:

  • The accuracy of the information you provide to us, including jobsite addresses and license numbers
  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Your own compliance decisions and actions taken (or not taken) in response to alerts or information provided by FlagHound

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Misrepresent FlagHound alerts or data as official government communications
  • Resell, redistribute, or sublicense access to the Service without our written consent
  • Attempt to reverse-engineer, scrape, or extract the underlying data infrastructure of the Service
  • Interfere with or disrupt the operation of the Service
  • Use automated means to access the Service beyond what we expressly provide

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any information provided through the Service is accurate, complete, reliable, current, or error-free.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FlagHound, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to these Terms or your use of the Service shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation applies to, without limitation, any liability arising from:

  • Violations, fines, penalties, or enforcement actions that the Service failed to detect or report
  • Inaccuracies, errors, or omissions in data provided through the Service
  • Delays in alerts or notifications
  • Decisions you made (or failed to make) based on information from the Service
  • Any interruption or cessation of the Service

9. Indemnification

You agree to indemnify, defend, and hold harmless FlagHound and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your compliance decisions, actions, or omissions
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any claim by a third party arising from your use of information obtained through the Service

10. Dispute Resolution

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against FlagHound.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. For any dispute not subject to the arbitration clause above, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.

11. Subscription and Payment

Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:

  • You agree to pay the applicable fees described at the time of purchase, plus any applicable sales tax.
  • Subscriptions renew automatically at the end of each billing cycle at the then-current rate. You may cancel at any time before a renewal to avoid the next charge.
  • Cancellation takes effect at the end of the current billing cycle; access continues until that date. We do not issue pro-rata refunds for unused portions of a billing cycle after cancellation, except as set out below or as required by applicable law.
  • We offer a 14-day money-back guarantee on a new first-time paid subscription: if you request a refund within 14 days of your first paid charge by emailing hello@flaghound.com, we will refund that charge in full.
  • We reserve the right to change pricing with at least 30 days' notice before the change applies to your next renewal.

During any free beta or trial period, the Service is provided at no cost. We reserve the right to end any free access period and transition to paid plans with reasonable notice before any charges begin.

12. Intellectual Property

The FlagHound name, logo, website design, software, and all original content are the property of FlagHound and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

Government data aggregated and displayed through the Service remains public data as published by the originating agencies under applicable open data laws.

13. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should stop using the Service.

14. Termination

We may terminate or suspend your access to the Service for material breach of these Terms, non-payment, suspected fraud or abuse, or where continued access would expose us or other users to meaningful legal or security risk. We will use reasonable efforts to give you notice before termination where practical. You may terminate your account at any time by emailing us.

Following termination, you may request an export of your account data within 30 days; after that period we will delete or anonymize your personal information subject to the retention carve-outs described in our Privacy Policy. Sections 7 (Disclaimer), 8 (Limitation of Liability), 9 (Indemnification), and 10 (Dispute Resolution) shall survive termination.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and FlagHound regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
